Would like to inquire below for the application of Confirmation of Exempt Transactions for the re-issuance of Common Treasury Shares to existing stockholder, shares not traded in stock exchange:

1. What email to use in sending the Form 10.1
2. Do we need to wait for the confirmation before executing the sale of treasury?
3. How many days or weeks will it take for the release of the confirmation?
4. Requirements, if any aside from the SEC form 10.1

You asked on the application of Confirmation of Exempt Transactions for the re-issuance of Common Treasury Shares to existing stockholder. 

Response to Request

1. What email to use when sending the Form 10.1
You may email msrd_covid19@sec.gov.ph for the accomplished SEC Form 10.1.

2. Do we need to wait for the confirmation before executing the sale of treasury?
Yes.

3. How many days or weeks will it take for the release of the confirmation?
Once the applicant company submits the requirements, MSRD will review the submissions and provide our comment within seven days.

4. Requirements, if any aside from the SEC form 10.1
a. Written Disclosure
b. Notice to Stockholders
c. List of Stockholders before and After the subscription
d. Latest Audited Financial Statements
e. Waiver of pre-emptive rights, if applicable
f. Monitoring Clearance
g. Secretary’s Certificate of No Intra Corporate Dispute
