This has reference to your request dated 29 May 2020, denominated as a Freedom of Information (“FOI”) Request under Executive Order (E.O.) No. 2 (s. 2016) on Freedom of Information in the Executive Branch.

In your request, you asked for a copy of the PCC Memorandum Circular No. 20-002 or the Process For Exemption From Compulsory Notification In Unsolicited Public-private Partnership (PPP) Projects for research purposes.

Response to your request
 
Please be informed that PCC Memorandum Circular No. 20-002 is pending Commission’s approval. 

For your information, parties to Unsolicited PPP Projects are currently advised to follow Section 17 of the PCA, its IRR and related issuance (i.e. Joint Venture Guidelines). 

Consequently, if the transaction breaches the Size of Party and Size of Transaction Test, then notification should be filed with the Commission.  Thereafter, review process (Phase 1 and/or Phase 2) follows. The parties should still secure favorable decision from the Commission before consummating the transaction.
